Died was because his body was in a state that a mortal wouldn't be able to live in, but since C.C. was still normal the transfering of the code wouldn't kill her, and lelouch had to run because otherwise the Zero Requiem wouldn't have been a success. As things stand he and C.C. can live as a couple (as all C.C. ever wanted was to be loved)until some new group plots world domination, which will happen.
