He is one of the four Guardians of Master X. Zero defeated him three times and Phantom suicided after his second defeat in a last ditch effort to kill Zero. It didn't work. I see no reason why Zero wouldn't be able to take down Phantom for a fourth time considering all that zombie reploids are are slower, weaker versions of themselves. Since Phantom's zombification isn't hindering him in any way, as according to the match set up, then it is pretty much exactly the same as the last time Zero fought him. Also I made an error in my last post. I had thought that Zero still had the Shield Boomerang. He doesn't as it wasn't featured in the last game Zero appeared in.
